Terms of Service

These Terms are a template and do not constitute legal advice. Please have counsel review before publishing.
1. Acceptance of Terms
By accessing or using PaywallOS, including the Bootstrap SDK, APIs, widgets, dashboard, and related services (collectively, the “Service”), you agree to these Terms of Service (“Terms”). If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
2. Accounts & Eligibility
You must provide accurate information and maintain the security of your credentials. You are responsible for all activities under your account. You must be at least the age of majority in your jurisdiction.
3. Subscriptions, Billing & Taxes
Paid plans are billed via our payment processor (e.g., Stripe). Fees, billing intervals, and plan features are shown at checkout and in your dashboard. Unless otherwise stated, subscriptions renew automatically until canceled. You are responsible for applicable taxes.
4. Plans, Entitlements & Usage Limits
The Service enables feature gating, quotas, and plan entitlements for your end-users. You control which features are included in each plan. You acknowledge that misconfiguration can affect access to your app; test changes in a non-production environment where possible.
5. Free Trials & Beta Features
We may offer free tiers, trials, or beta features. We may modify or discontinue trials/betas at any time. Beta features are provided “as is,” may be untested, and may change without notice.
6. Your Content & Customer Data
You retain all rights in your app and data you send to the Service. You grant us a limited license to process such data solely to provide, secure, and improve the Service (including aggregated/de-identified analytics). You are responsible for obtaining all necessary rights and consents from your end-users.
7. Developer Responsibilities
- Comply with applicable laws (privacy, consumer protection, export, tax, sanctions).
- Provide accurate plan/feature descriptions to your users.
- Secure your API keys, webhooks, and credentials.
- Do not use the Service for prohibited content or activities.
8. Prohibited Uses
You may not: (a) reverse engineer the Service; (b) access the Service to build a competing product; (c) abuse quotas or attempt to bypass entitlements; (d) use the Service to violate others’ rights or laws; (e) interfere with or disrupt the Service or networks.
9. Third-Party Services
Certain functionality relies on third-party providers (e.g., Stripe, hosting, databases). Those services are governed by their own terms and privacy policies. We are not responsible for third-party services.
10. Intellectual Property
The Service, including software, SDKs, UI components, logos, and documentation, is owned by PaywallOS, Inc. and its licensors. We grant you a limited, non-exclusive, non-transferable license to use the SDK and APIs solely to integrate the Service into your applications in accordance with these Terms and our documentation.
11. Feedback
If you provide feedback or suggestions, you grant us a royalty-free, perpetual license to use it without restriction or obligation to you.
12. Confidentiality
Each party may receive confidential information of the other. The receiving party will use such information only to perform under these Terms and will protect it using reasonable measures.
13. Privacy
Your use of the Service is subject to our Privacy Policy. Where a separate DPA is executed, that DPA governs processing of personal data on your behalf.
14. Branding; “Bootstrapped by PaywallOS”
Certain plans may include or require display of a “Bootstrapped by PaywallOS” badge in your application. You may not impersonate our brand or use confusingly similar marks. Any optional storefront listing is subject to submission and verification rules.
15. Service Changes
We may modify the Service, including features and pricing, with notice where required. If you do not agree to material changes, you may terminate your subscription as described below.
16. Availability & Support
We strive for high availability and provide support per your plan. From time to time, the Service may be unavailable due to maintenance, upgrades, or network issues.
17. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
18. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL PaywallOS, Inc. BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL. OUR TOTAL LIABILITY FOR ALL CLAIMS IN THE AGGREGATE WILL NOT EXCEED THE AMOUNTS PAID BY YOU TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
19. Indemnification
You will indemnify and hold PaywallOS, Inc. harmless from claims, damages, liabilities, and expenses arising from your content, your apps, or your misuse of the Service.
20. Term & Termination
These Terms remain in effect while you use the Service. You may cancel at any time via the dashboard. We may suspend or terminate for breach or misuse. Upon termination, your access ends; certain sections survive (e.g., IP, confidentiality, limitations, indemnities).
21. Governing Law; Disputes
These Terms are governed by the laws of Delaware, USA, excluding conflict-of-laws rules. Any dispute will be resolved in the courts (or arbitration venue) located in San Francisco, California. You agree to the jurisdiction and venue of those courts. (Update this section to match your preferred dispute process; many SaaS use binding arbitration + class-action waiver.)
22. Export & Sanctions
You represent that you are not barred from using the Service under export control or sanctions laws and will comply with all applicable restrictions.
23. Changes to Terms
We may update these Terms from time to time. Material changes will be notified via the dashboard or email. Your continued use of the Service after the effective date constitutes acceptance.

If any provision of these Terms is unenforceable, the remaining provisions will remain in full force. You may not assign your rights without our consent. We may assign to an affiliate or in connection with a merger or acquisition.
